The website goloans.ca and the application available at https://goloans.ca (collectively, the “Site”) and the information they offer including any webpages, text, images, sounds, software, and other data or information contained in the Site (the “Content”) are, as between the parties, owned and operated by GoLoans.ca (“GoLoans”, “we”, “our” and “us”). These Terms of Use (the “Terms”) are a binding agreement that applies to use of the Site generally, including reviewing Content.
1. Consent to these Terms
These Terms are a binding agreement between you and GoLoans. These Terms apply to your access to and use of the Site, including any review of the Content. You must read these Terms and any information linked to or otherwise referenced in these Terms, and accept these Terms before using the Site. Your access to or other use of the Site, including reviewing any Content or otherwise using the Site, constitutes your acceptance of and agreement to these Terms as most recently updated. If you do not agree to these Terms, you may not access or use the Site in any way, including reviewing any Content.
Certain financial products and services offered by GoLoans, including but not limited to loans and consumer product financing (such as electronics financing), are subject to separate agreements and additional terms and conditions. These agreements will be presented to you at the time you apply for or obtain such products or services. In the event that you obtain such a product or service, the applicable product agreement will govern the specific terms of that transaction in addition to these Terms.
2. Updates to the Terms
GoLoans may in its sole and absolute discretion revise, modify, change or otherwise update these Terms at any time, in accordance with applicable laws. Your continued use of the Site after any modification of these Terms constitutes your acceptance of and agreement with the Terms as updated. Where required by applicable law, you will be notified by email or other method at contact information you have supplied for any application, newsletter, opt-in communication, or otherwise, if and when these Terms are updated. However, in the event that GoLoans wishes to amend any clause of the Terms without your consent, we will send you a written notice detailing the changes to be made.
3. Use of the Site
3.1 License. GoLoans hereby grants you a personal, limited, revocable, non-transferable, non-assignable and non-exclusive license to access, use, read and print the Content of the Site for your personal, non-commercial, and not-for-profit use only. Your use of the Site does not transfer to you any ownership or other rights in the Site or its Content. You may use the Site only in the manner described expressly in the Terms and subject to all applicable laws. Using the Site for any other purpose or in any other manner is strictly prohibited.
3.2. Eligibility. The Site is intended for access, review, or other use by residents of Canada, and is not intended for access, review or other use by a person that has not reached age of majority in its country, province or territory of residence. GoLoans makes no representation or warranty that this Site, or the Content are appropriate or available for access or other use in all locations and jurisdictions. If you are accessing or using the Site from outside of Canada, reviewing Content (including any publicly available or login-only Content), or otherwise using the Site, it is solely your responsibility to ensure that any such access or use complies with applicable laws of any kind whatsoever in the jurisdiction from which you are accessing or using the Site.
4. Account
4.1. Account Creation. You may create an account on our Site to access certain sections of the Site and/or certain products and services available through the Site. If you create an account you agree to provide truthful, complete and current information.
4.2. Account Confidentiality. You are responsible for maintaining the confidentiality of your account, as well as your username, password or other security information, and for all activities that occur using your account. You must not disclose your password, username or other security information to any other person or entity. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password. You understand and agree that your account is personal to you, and you agree not to provide any other person with access to the Site or portions of it using your username, password, or other security information. You must always choose a unique and secure password that is hard to guess, even for people who know you well. You agree to: (i) immediately notify GoLoans of any unauthorized use of your account or any other breach of security; (ii) ensure that you exit from your account at the end of each session; and (iii) take all measures to change your password as soon as you suspect that it may been compromised.
5. Prohibited Use of the Site:
5.1. Prohibited Conduct and Use. You may not use the Site or any Content for any unlawful or unsafe purpose. Accessing or using the Site, including reviewing Content, acting on Content, or otherwise using the Site in jurisdictions where the Site or the Content are illegal, is prohibited. If you choose to access the Site from such a jurisdiction, you do so on your own initiative, discretion and risk, and you are responsible for compliance with both the applicable law and with any laws applicable in the jurisdiction from which you are accessing the Site. Without limiting the generality of the foregoing, while accessing or using the Site, including reviewing Content, you agree that you will not:
5.1.1. violate any laws, including the applicable law, any third-party rights or our policies;
5.1.2. access or use the Site if you are not able to form legally binding contracts, are under the age of majority in your country, province or territory of residence, or are temporarily or indefinitely suspended from accessing or using the Site;
5.1.3. access or use the Site in any manner which could damage, disable, overburden or impair the Site, its system or infrastructure;
5.1.4. interfere with the security of, or otherwise abuse, damage, disable, overburden or impair the Site, or any system resources, accounts, servers or networks connected to or accessible through the Site or affiliated or linked sites;
5.1.5. attempt to breach or breach the security and/or authentication measures which are not authorized;
5.1.6. distribute viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful, or any other technologies that may harm or prejudice the interests, rights, or property of GoLoans or of any other person accessing or using the Site;
5.1.7. use any robot, spider or other automatic device, to index, crawl, catalogue, mirror, frame, scrape, cache or otherwise monitor or copy any web page of the Site or any Content to collect or mine data from the Site;
5.1.8. modify, translate, reverse engineering, decompile, disassemble the Site, the Content or any part thereof;
5.1.9. attempt to breach or breaching the security and/or authentication measures which are not authorized;
5.1.10. attack the Site via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing;
5.1.11. use any manual process to monitor or copy any web page of the Site or any Content other than as provided for in these Terms;
5.1.12. obtain unauthorized access to the Site or portions of the Site that are restricted from general access;
5.1.13. copy, modify or distribute rights or Content from the Site, including Content subject to copyright and common law or registered trademark rights owned by or licensed to, without limitation, GoLoans, and whether or not for consideration or for commercial purposes;
5.1.14. harvest, scrap or otherwise collect information about any user of the Site, including email addresses, without their consent and compliance with all applicable law; or
5.1.15. attempt to complete any of the above actions.
5.2. Access to Site. Without limiting other recourse, including but not limited to, any remedy available under applicable law, we may limit, delay, suspend or terminate any access to the Site, Content, linked sites, deny an application, or take technical and legal steps to keep users off the Site if the user is creating problems or possible legal liabilities, infringing the Intellectual Property Rights (defined below) of GoLoans or third parties, or otherwise acting inconsistently with the letter or spirit of these Terms or our policies, or otherwise to the determinant of GoLoans, GoLoans Group (as defined below in these Terms), or any other person.
5.3. No Spam, Spyware or Spoofing. GoLoans takes compliance with applicable law pertaining to commercial electronic messages, including but not limited to Canadian Anti-Spam Legislation (“CASL”), very seriously. We will not send you commercial electronic messages without the appropriate consent as set forth in CASL. For example, you may choose to receive a newsletter or other commercial electronic messages from GoLoans on an opt-in basis, and having done so may opt out at any time. You may not use our communication tools or the Site more broadly to distribute spam, distribute or leverage spyware, or otherwise send content that would violate these Terms or any applicable law.
5.4. Security. We use physical, electronic, and administrative measures designed to secure our Site and information provided, from accidental loss and from unauthorized access, use, alteration, and disclosure. Electronic communications, including over the internet and through email, are not secure means of communication and any transmission of information is at your own risk.
6. Accuracy of Content
All Content is provided on an “as is” basis for informational purposes only and is subject to change without notice. While the Site and the Content are regularly updated, the Content may be inaccurate, out-of-date, or otherwise incorrect. GoLoans assumes no liability or responsibility for any such errors, omissions or inaccuracies and makes no representations about the accuracy, reliability, completeness, or timeliness of the Content. Subject to the foregoing, GoLoans works to keep the Site updated and working properly. 7. Intellectual Property Rights
7.1. Content and Intellectual Property Rights. The Site and all Content, including these Terms, and any rights, title and interest in the Site and Content, are, as between the parties solely owned by GoLoans. All rights reserved. As between the parties, the copyright for the Site and all Content is owned by or licensed to GoLoans and is protected under applicable law including, without limitation, Canadian copyright legislation and applicable regulations, common law rights, and by other copyright laws in other jurisdictions. No Content may be reproduced, adapted, uploaded to a third party, linked to, framed, performed in public, distributed or transmitted in any form by any process without the specific written consent of GoLoans, other than as expressly provided for in these Terms. Nothing on the Site shall be construed as conferring any transfer of rights to you of any intellectual property or other proprietary or exclusionary rights of GoLoans or any third party, whether by estoppel, by implication or otherwise, and whether defined by statute, including, without limitation, any ownership or other rights related to pending or issued applications for patents, trademark registrations, copyright registrations, or by common law, including any rights in copyright, goodwill, trademark, branding, trade secret, confidential information or other proprietary rights, or derivative works with respect thereto (collectively, “Intellectual Property Rights”).
7.2. Trademarks. Without limiting the generality of the foregoing, the product names, company names and logos of GoLoans, any affiliate or any third-party used on the Site may be trademarks, including registered trademarks of GoLoans. Such trademarks, product names, company names or logos may not be copied, imitated or used, in whole or in part, without the prior written consent of GoLoans or any owners or other relevant parties as applicable relating to the trademarks, product names, company names or logos.
7.3. Reservation of Rights. Without limiting the generality of the foregoing, other of GoLoans’s methods and processes may be subject to rights, including Intellectual Property Rights, of GoLoans or a third party. GoLoans and any applicable third parties reserve all such rights.
8. User Content
8.1. The Site may allow you to post, send or upload files, documents or other materials (collectively, the “User Content”). In addition to prohibited use of the Site listed above, when posting, publishing, sending or uploading User Content, you agree, not to:
8.1.1. post or transmit any unlawful, threatening, abusive, libellous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including, without limitation, any User Content constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any local, state, provincial, national or international law or regulation;
8.1.2. post or transmit any User Content, including, without limitation, articles, images, stories, software or other material, which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by any intellectual property rights, including, without limitation, copyright, patent, trade secrets, trademark or other proprietary rights herein, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder;
8.1.3. post or transmit any User Content which contains a virus or other harmful component, or provides or creates computer viruses;
8.1.4. posting, uploading or transmitting any User Content for commercial purposes, and which contain advertising or which engage in commercial activities and/or sales, or which involve contests, sweepstakes, barter and/or advertising; and
8.1.5. downloading, archiving, storing, copying, reproducing, collecting, compiling, recompiling, using, modifying, adapting, translating or preparing any summaries, digests, derivative works, of the Site and the Content, in whole or in part, including any photograph, description, reference, picture or other data or information obtained or derived from the Site (excluding rights you have to access, and view under the terms hereof).
8.2. Licence. By sending, posting or uploading User Content to this Site, you grant GoLoans a royalty-free, perpetual, non-exclusive, irrevocable, unrestricted, worldwide licence to use, reproduce, store, adapt, translate, modify, make derivative works from, transmit, distribute, publicly perform or display such User Content for any purpose. In addition, you waive, and hereby agree to waive, all moral rights in any User Content, and acknowledge and agree that any User Content you provide for display on this Site will be considered non-confidential. You hereby warrant that any User Content you send, post or upload on this Site does not contravene nor infringe on third party rights, including but not limited to third-party’s intellectual property rights, titles and interests.
8.3. Removal. GoLoans may from time-to-time monitor or review postings, transmissions, uploading, and the like of, on the Site to ensure compliance with the Terms. GoLoans reserves the right, in its sole discretion, to refuse to post, edit or remove any User Content. You acknowledge and agree that GoLoans may, in its sole discretion, monitor the Site periodically and disclose any information as necessary to satisfy any law, regulation or other governmental or court request, to operate this Site properly or to protect itself or other users of the Site. GoLoans is under no obligation to do so and assume no responsibility or liability arising from the User Content of any such locations nor for any error, omission, infringement, defamation, obscenity, or inaccuracy contained in any information within such locations on the Site. You acknowledge that you remain solely responsible for the content of the User Content you send, post or upload, including the legality, reliability, appropriateness and originality thereof.
9. Privacy
GoLoans may collect personal information through the Site. Your personal information will only be used for GoLoans’s internal purposes, for the purposes for which it was collected and for purposes to which you have given your consent. GoLoans’s collection, use and disclosure of your personal information is governed by the GoLoans Privacy Policy, as revised from time to time, and as otherwise permitted or required by applicable law.
10. Inbound and Outbound Links
10.1. Outbound Links. The Site may contain links to third-party websites and resources. These linked websites are provided solely as a convenience to you, and not as an endorsement by GoLoans of the third-party websites or resources, or of any product or services offered or endorsed by such third parties. GoLoans makes no representations or warranties regarding the availability, correctness, accuracy, performance or quality of any linked website or any content, software, service or application found at any linked website.
10.2. Inbound Links. You agree not to link to the Site in association with any false, inaccurate, misleading, misappropriated, defamatory or libelous content, in association with any spam, unsolicited or bulk electronic messages, including commercial electronic messages. Subject to these Terms, GoLoans generally agrees with linking to the Site through a link, including a plain text link or logo link, without an additional written agreement between yourself and GoLoans. Notwithstanding the foregoing, GoLoans reserves the right to require that you remove any link from a website owned, operated, posted on or otherwise used by you to publish a reference to the Site through a link, at GoLoans’s discretion, including for posting any link in association with, displayed with, or in any way connected with the Site, GoLoans, or GoLoans Group (as defined below in these Terms)
11. Disclaimer and Limitation of Liability
11.1. Disclaimer. To the maximum extent permitted by applicable law, the Site, and the Content, are provided “as is”, without representation, warranty or condition of any kind, either express or implied, by GoLoans, including all affiliates or entities related to GoLoans, and any officers, directors, employees, or agents of GoLoans, or of any affiliate or related entity, any of the foregoing alone or in any combination (collectively, “GoLoans Group”). Without limiting the foregoing, GoLoans Group expressly disclaims any warranties or conditions of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of the course of dealing or usage of trade. GoLoans Group makes no warranty that the Site, or the Content, will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Without limiting the generality of the foregoing, GoLoans Group makes no warranty regarding the quality of the Site, the Content or the Accuracy, timeliness, truthfulness, completeness or reliability of any Content on the Site.
11.2. Limitation of Liability. You expressly understand and agree that, to the maximum extent permitted by applicable law, GoLoans Group is not and shall not be held responsible or liable to you or any person for any claim or remedy whatsoever including any claim for, or remedy including, damages, equitable relief, injunctive relief, or other remedy, including any direct, indirect, special, incidental, consequential, or punitive damages, including remedies for any adverse reaction, personal injury, loss of use, disclosure or loss of data, lost profits, breach of confidence, legal, financial or other professional fees, consulting fees, or other intangible losses, whatsoever and howsoever caused, regardless of the theory of law providing a basis for the remedy (including contract, tort, or statute), for any loss arising out of or in any way connected with : (i) your use or application of the Site or the Content; (ii) your inability to use or apply to the Site or the Content; (iii) your use of or reliance on any Content or other information displayed on, hosted on, contained on, or otherwise accessible through the Site; (iv) any misuse of the Site by you or other persons, including in contravention of these Terms; or (v) any other matter related to the Site.
This limitation of liability applies notwithstanding, as applicable (a) any potential liability having been reasonably foreseeable, (b) any error or omission by GoLoans Group on in the Content whether or not GoLoans Group knew or ought to have known of, or were otherwise responsible for, any such error or omission; (c) GoLoans Group having been informed of the possibility of potential liability or (d) other remedies not being available or not adequately compensating you or any other person.
11.3. Indemnity. You agree to release, defend, indemnify, and hold GoLoans Group harmless from and against any and all claims and remedies brought by a third party arising from or related to any use of the Site and the Content. Notwithstanding this indemnity, GoLoans Group retains the right to participate in the defense and settlement negotiations relating to the foregoing with counsel of GoLoans’s selection at GoLoans Group’s discretion, and sole cost and expense.
11.4. Reservations. Some jurisdictions do not allow the disclaimer of warranties or conditions, or exclusion of damages, so such disclaimers and exclusions may not apply to you if you meet the requirements to the benefit from the laws of such jurisdiction notwithstanding these Terms.
12. General
12.1. No Agency. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms.
12.2. Notices. Except as expressly stated otherwise, providing an email address or other information to GoLoans, constitutes your consent to receive any legal notices required by applicable law at an email address or other contact information you provide to GoLoans. Any legal notice sent by email or other electronic communication in this manner shall be deemed to have been received 24 hours after the email or other electronic communication is sent by GoLoans, unless GoLoans is notified that the email address is invalid. Alternatively, we may give you legal notice by mail at any physical address you have provided to GoLoans. In such case, notice shall be deemed given three days after the notice is sent in the mail by GoLoans.
12.3. Law and Forum for Legal Disputes
These Terms shall be governed in all respects by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict of law provisions. You agree that to the extent any claim or dispute you may have against GoLoans is resolved in court, the claim or dispute must be resolved exclusively by a provincial court or federal court located in Edmonton. You agree to submit to the personal jurisdiction of the courts located within Alberta for the purpose of litigating all such claims or disputes.
12.4. Additional Terms. When reviewing Content or otherwise accessing the Site, you may be subjected to other posted policies or rules applicable to the Site, which are available on the applicable portion of the Site. Subject to any additional policies or rules, these Terms constitute the entire agreement between you and GoLoans with respect to the Site, the Content, and any information obtained through the Site by communication with GoLoans personnel.
12.5. Term and Termination. These Terms will become effective upon your acceptance of these Terms as updated from time to time by your use of the Site. These Terms will remain in full force and effect unless and until updated or terminated hereunder. You acknowledge that GoLoans has the right to terminate or suspend your access to the Site, or to limit or deny your access to or participation in any Content, offered by GoLoans at any time without notice to you and without liability to you or any person, if you violate or threaten to violate any of these Terms, if you violate or threaten to violate any rights of GoLoans, interfere with any other person’s access to or use of the Site, or if that access to the Site by any person, access to Content by any person, is otherwise detrimental to the Site, GoLoans or GoLoans Group more broadly, or GoLoans’s suppliers or licensors. If you believe that someone has violated these Terms, please contact GoLoans with details. GoLoans may decide, in its discretion, to investigate the report and decide, in its discretion, to take any action relating to that report. GoLoans does not have any obligation or liability to you for the performance or non-performance of those activities and has no obligation to communicate any decision or action taken as a result of your communication with GoLoans.
12.6. Interpretation. In these Terms, (a) headings are for reference purposes only and do not limit the scope or extent of such section; (b) words importing the singular number only also include the plural, and vice versa; (c) “person” includes an individual, corporation and any other legal entity; (d) “including” or “includes” means including or includes (as applicable) without limitation or restriction; (e) “law” includes common law, equity, statutes and regulations, as applicable; and (f) “discretion” mean a person’s sole, absolute and unfettered discretion.
12.7. Communication. You can communicate with GoLoans by email as indicated in these Terms. You can communicate with GoLoans by email at security@goloans.ca. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of these Terms.
